Welcome to GovLive ("GovLive" "We," "Us," or "Our") website ("Site"). This privacy policy has been created to inform You, the user, how We gather, use, treat, and disseminate Your personally-identifiable information and data. This privacy policy only information gathered on Our Site only and does not apply to any other website, even web sites to which We provide links. You must contact that particular website operator or company to determine what its privacy practices are, which may be much different than Our practices. Also, this policy does not apply to any contact that You have with Us or Our office outside of Your actual usage of Our Site while on the internet.
Please review this policy periodically as We may update it from time-to-time. This policy was last revised on March 12, 2010. Each time You visit the Site or provide Us with any information, You are hereby accepting the practices described in this privacy policy at that time. You expressly consent to Our use and disclosure of Your information as provided herein.
Information can generally be collected in two ways: (1) Information that is knowingly and voluntarily input into Our system directly by You in response to particular prompts or fields; and (2) information that is collected automatically when You use the Site.
Some information can be "personally identifiable." We use the term "personally identifiable information" to mean any type of information which could be utilized to identify or be readily associated with You, the user of this Site. Examples of personally identifiable information include, but are not limited to, Your name, address, telephone number, and e-mail address. In order to operate Our Site and provide You with information on services that may be of interest to You, We may collect personally identifiable information (e.g. name, address, phone number, and e-mail address) and demographic information (e.g. zip code, hometown, gender, and age) from You.
Nowhere on the Site do We knowingly market Our services or knowingly collect personally identifiable information from children under the age of thirteen (13).
Whenever You are prompted by the Site to complete forms and make choices, for example, and You choose to do so, You are voluntarily providing information to Us. This information may or may not be personally identifiable, depending upon what You are asked to provide and how We use it. The transmission of an e-mail voluntarily initiated by You to Us can also transmit personally identifiable information about You depending upon what information You choose to include in Your e-mail. You should not send personally identifiable information through Our Site via unencrypted e-mail, particularly information that You deem to be sensitive or confidential.
The automatic collection of information refers to information collected from You that does not require You to provide information in response to particular fields or prompts. This can be done through the use of software or other automated processes that Our Site uses.
For example, this Site, like many websites on the internet, uses "cookies." A cookie is a small text file automatically placed on Your computer's web browser that is used to recognize users who have previously visited the Site. In general, these cookies are either persistent and may reside on Your computer for several months after You last accessed the Site (or until You delete or otherwise dispose of them), or on a temporary basis. Our Site also uses temporary cookies called "session cookies," which are stored for a single user session with the Site and are deleted as soon as the user's browser is shut down. We use cookies for purposes that include, but are not limited to, keeping track of Your plan progress and other activity on the Site, delivering content specific to Your interests, saving Your password, and if You choose, saving other personal and financial information so You do not have to re-enter it each time You visit the Site. We do this to enhance Your experience on Our Site and to make it as easy to use as possible. Third-party advertisers on the Site may also place cookies on Your browser. If You wish to disable these cookies, the "help" portion of the toolbar on most browsers will likely tell You how to do so. Please note, however, that if You choose to set Your browser to disable cookies, You may not be able to access certain areas of Our Site.
Like most websites, each time You visit the Site, We automatically collect Your "internet protocol" ("IP") address (and the website address that directed You to Us, when applicable). An IP address is a unique series of numbers that identifies each computer connected to the internet. An IP address can be used to provide information such as the date and time of a user's visit, the availability of certain requested files, the popularity of various website functions, and the amount of information transmitted to each user from a site. Presently, We use Your IP address to address the frequency of Your visits to this Site and to determine the frequency with which certain pages and functions of the Site are accessed. This will allow Us to improve the Site's functionality and to diagnose problems. Your IP address is used to help identify You and to gather demographic information.
We use Your personally identifiable information for a variety of purposes, including, but not limited to, helping Us to perform transactions on the Site efficiently, delivering the services that You request, contacting You regarding natural and manmade emergencies, sending information, offers, and other promotional materials to You from Us and from selected third parties with whom We have a business and/or commercial relationship.
We reserve the right to send offers that We believe would be of interest and value to You, such as discounts, exclusive deals, special events, or other information. The Site provides You with the option of declining to receive these types of offers from Us by "opting-out." By opting-out, We give You the choice to not receive these types of communications, although We will still contact You regarding the creation or updating of Your plan. You will be given the option to opt-out after You receive Your first offer from Us. We will provide a link that You can use to opt-out of receiving subsequent marketing e-mails sent by Us. Please note, however, that opting-out of receipt of e-mail communications from Us and/or third parties (or by otherwise changing or deleting Your account information) will only change the information in Our database for future actions and communications from Us and/or third parties. These changes will not affect: A) Information already collected as part of a particular plan creation in Our database; and B) Information that We may have already forwarded to any other third parties. In this instance, You would have to contact each of those entities individually in order to make any changes to their use of Your personally identifiable information. If You opt-out and You still receive these offers directly from Us, please contact Us at info AT govlive DOT com as soon as possible so that We can add Your name to Our opt-out list.
Unless You opt-out, We will use and disclose all information submitted by You for such third-party offers in the same manner in which We use and disclose all other information submitted by You for offers We sponsor. We may select third parties with whom We will share Your personally identifiable information so that they can communicate directly with You about their products and services. We have no control over third parties and cannot guarantee that they will not share Your personally identifiable information with other parties, as they may have different privacy practices as to how Your information will be handled.
Your personally identifiable information may be given or transferred to a third party in the event of a transfer or sale of ownership or assets, or in the event of a bankruptcy of GovLive. We may also disclose Your personally identifiable information to other affiliated legal entities and businesses with whom We are under common corporate control. However, all of the affiliated legal entities and businesses that receive Your personally identifiable information from Us will comply with the terms of this privacy policy with respect to their use and disclosure of Your personally identifiable information. In addition, We can disclose Your personally identifiable information to other parties when We, in Our sole discretion, suspect or determine that Our Site is being used for any unacceptable, inappropriate, or illegal purposes. We may also disclose this information where authorized by law or pursuant to any authorized law enforcement investigation, regardless of whether it was initiated by Us or by another party.
We use Your other non-personally identifiable information, such as general demographic information, to customize the Site to the interests of Our users. We may share this information with third parties. We may also share anonymous, aggregated demographic information with advertisers and other third parties so that they can customize their advertisements, promotions, and communications to the appropriate audience. There may also be certain instances when We provide third parties with Your personally identifiable and specific demographic information on a non-anonymous basis.
We attempt to protect Your personally identifiable information by utilizing reasonable security measures to prevent loss, misuse, alteration, or unintentional destruction. We encrypt all of Your personally identifiable information as it travels over the Internet. If You learn that Our security measures have been compromised or have other concerns, please inform Us immediately at info AT govlive DOT com.
When You register to create an account with the Site or create a plan on the Site, We will either give You the opportunity to set certain e-mail preferences when You register, or We will automatically set certain e-mail preferences for You. As noted earlier, however, changing Your preferences will only affect future communications directly from Us and not from third parties who may have already received Your information.
If You have any questions or concerns about Our privacy policy or the practices of the Site, You can contact Us at info AT govlive DOT com. You can also send mail to Us at: Privacy Officer, GovLive, 600 1st Avenue North, Suite 307, St. Petersburg FL 33701.
By using this site, you signify your assent to these Terms and Conditions. If you do not agree to all of these Terms and Conditions of use, do not use this site!

You further agree that You shall not use, implement, or employ, or directly or indirectly aid, encourage, or solicit anyone else from using, implementing, or employing any automated or manual device, process, or program that interferes or attempts to interfere with the operation of Our site.

We are not responsible or liable, either directly or indirectly, for the availability or accessibility of these other sites, any transmissions initiated by or between You and the other site, any of the content posted on the other site, or your reliance upon such content.

We will attempt to remove, disable or restrict access to or the availability of content that, in Our sole discretion, is infringing, racist, obscene, obscene as to minors, lascivious, excessively violent, harassing, or otherwise objectionable or unacceptable. The provisions of this Section are intended to implement this policy but are not intended to impose a contractual obligation on Us to undertake, or refrain from undertaking, any particular course of conduct.
Complaint Procedures. If You believe that someone has posted content which violates this policy (other than in cases of copyright infringement, which is addressed in Section Fourteen (14)), promptly notify Us by e-mail at the following address: info AT govlive DOT com. You must use this address if you want to ensure that your complaint is actually received by the appropriate person charged with investigating alleged policy violations. In order to allow Us to respond effectively, please provide Us with as much detail as possible, including: (1) the nature of the right infringed or violated (including the registration numbers of any registered trademarks or patents allegedly infringed); (2) all facts which lead You to believe that a right has been violated or infringed; (3) the precise location where the offending content is located; (4) any grounds to believe that the person who posted the content was not authorized to do so or did not have a valid defense (including the defense of fair use); and (5) if known, the identity of the person or persons who posted the infringing or offending content.

In addition, You agree, at Your own expense, to defend and indemnify Us and hold Us harmless against all claims which may be asserted against Us, and all losses incurred, as a result of Your complaint and/or Our response to it.
Waiver of Claims and Remedies. We expect all users of Our site to take responsibility for their own actions and cannot assume liability for any acts of third-parties which take place at this site. By taking advantage of the Good Samaritan procedures set forth in this Section, You waive any and all claims or remedies which You might otherwise be able to assert against Us under any theory of law (including, but not limited to, intellectual property laws) that arise out of or relate in any way to the content at this site or Our response, or failure to respond, to a complaint.
Investigation/Liability Limitation. You agree that We have the right, but not the obligation, to investigate any complaint received. By reserving this right, We do not undertake any responsibility in fact to investigate complaints or to remove, disable or restrict access to or the availability of content. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM US, WHETHER IN ORAL, WRITTEN, OR ELECTRONIC FORM, RELATING TO YOUR USE OF THIS SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES FOR ANY MATTER ARISING FROM OR RELATING TO THIS AGREEMENT, THE SITE OR SERVICE, OR THE INTERNET GENERALLY, INCLUDING, BUT NOT LIMITED TO: (A) YOUR USE OR INABILITY TO USE THE SITE; (B) ANY CHANGES TO OR INACCESSIBILITY OF THE SITE; (C) ANY DELAY, FAILURE, UNAUTHORIZED ACCESS TO, OR ALTERATION OF, ANY TRANSMISSION OR DATA; (D) ANY CONTENT OR DATA TRANSMITTED OR RECEIVED OR NOT TRANSMITTED OR RECEIVED; (E) ANY CONTENT OR DATA FROM A THIRD PERSON ACCESSED ON OR THROUGH THE SITE; AND (F) ANY PROBLEMS OR DIFFICULTIES THAT ARISE PERTAINING TO THE CREATION OR PROCESSING OF PLANS, WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT OR OTHERWISE. SOME STATES PROHIBIT THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THUS THIS LIMITATION OF LIABILITY MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE LIMITED TO ONE DOLLAR ($1.00) AND SHALL NOT EXCEED THAT AMOUNT.
You agree to indemnify, hold harmless, and defend Us, Our directors, employees, and agents from and against any action, cause, claim, damage, debt, demand or liability, including reasonable costs and attorney's fees, asserted by any person, arising out of or relating to: (a) this Agreement and/or any breach by You thereof; (b) Your use of the site, including any data, content, or material transmitted or received by You; (c) any unacceptable or objectionable use of the website, as we determine in Our sole discretion; (d) any negligent or willful misconduct by You; and (e) as otherwise provided in this Agreement.
This Agreement and the Privacy Policy constitute the complete and exclusive statement and agreement between GovLive and You with respect to use of this site and supersedes any and all prior or contemporaneous communications, representations, statements, agreements, and understandings, whether in oral, written, or electronic form, between You and Us concerning the use of the site and Our service.
Except as provided in the Other Agreements, if applicable, We may terminate Your right to access this site at any time and without notice, in our sole discretion.
No waiver of any term, provision or condition of this Agreement and/or the privacy policy, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or shall constitute, a waiver of any other term, provision or condition hereof, whether or not similar, nor shall such waiver constitute a continuing waiver of any such term, provision or condition hereof. No waiver shall be binding unless executed in writing by the party making the waiver.
We have the right, at any time and without notice, to add or modify the terms of this Agreement. Your access to or use of the site after the date such amended terms are added shall be deemed to constitute acceptance of such amended terms. No modification made by You shall be binding upon Us unless it is made in writing and signed by Us.
If the performance of any part of this Agreement by either party is prevented, hindered, delayed, or otherwise made impracticable by reason of any flood, riot, fire, judicial or governmental action, labor disputes, act of God, or any other causes beyond the control of either party, that party shall be excused to the extent that it is prevented, hindered, or delayed by such causes.
If any one or more of the provisions contained in this Agreement shall for any reason be found to be invalid, illegal, or unenforceable in any respect, said finding shall not affect the remaining provisions of this Agreement, which shall be enforceable to the fullest extent permitted by law.
Any controversy or claim arising out of or relating to this Agreement or a breach thereof, with the exception of any injunctive or equitable relief sought by Us for any violation of this Agreement, shall be submitted to binding arbitration in St. Petersburg, Florida in accordance with the rules and procedures of the American Arbitration Association ("AAA"), with the exception of any conflicts-of-law provisions.
This Agreement is made in, and shall be governed by, the laws of Florida, excluding its conflicts-of-law provisions. If, for any reason, the Arbitration provision contained in Section Twenty-Six (26) shall be found to be invalid or unenforceable in any respect, or You decide to challenge the arbitrator's decision or this Agreement, or We initiate equitable proceedings, all actions, claims, or disputes arising under or relating to this Agreement shall be brought in the federal or state courts of St. Petersburg, Florida. You irrevocably submit and consent to the exercise of subject matter jurisdiction and personal jurisdiction over You by the federal and/or state courts in Florida. You hereby irrevocably waive any and all objections which You may now or hereafter have to the exercise of personal and subject matter jurisdiction by the federal or state courts in Florida and to the venue of any such suit, action, or proceeding brought in any federal or state court in St. Petersburg, Florida.
In order to avoid irreparable injury to Us, in the event of any breach or threatened breach by You of the provisions of this Agreement, We shall be entitled to an injunction and/or other equitable relief restraining such breach. Nothing in this Agreement shall be construed as prohibiting Us from pursuing any other remedies available to Us for such breach or threatened breach, including the recovery of monetary damages from You.
Except as provided herein, all notices relating to the site, Your use thereof, this Agreement, and/or the privacy policy sent by either party shall deemed to be delivered when sent via e-mail to the other party's last known e-mail address.
The respective rights and obligations of the parties under Sections Sixteen (16) through Nineteen (19), inclusive, and Sections Twenty-Six (26) and Twenty-Seven (27) and as otherwise provided in this Agreement, shall survive any termination or expiration of this Agreement.
The headings and sequential order of the sections contained in this Agreement are for convenience or reference only and shall have no substantive or procedural effects in construing the provisions of this Agreement.
